1. Agreement to Terms
By accessing our website and utilizing the services of Twilight Motion Studio ("we", "us", "our"), you agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you must refrain from using our services.
2. Services & Scope
Twilight Motion Studio provides high-end design, web development, and digital media production services. The specific scope, timeline, and deliverables for any project will be mutually agreed upon in a written Statement of Work (SOW) or Proposal prior to the commencement of work.
3. Intellectual Property Rights
Client Assets: You retain all rights to any materials, logos, and IP you provide to us for use in the project. You warrant that you have the right to use and authorize us to use these assets.
Deliverables: Upon full and final payment of all invoices, Twilight Motion Studio assigns the intellectual property rights of the final deliverables to the Client. Until full payment is received, we retain full ownership of all work produced. We reserve the right to display completed work in our portfolio, unless a specific Non-Disclosure Agreement (NDA) states otherwise.
4. Fees, Payment, and Refunds
Projects typically require a non-refundable deposit to secure placement in our production schedule. The remaining balance will be tied to project milestones or a final delivery date, as outlined in the SOW. Due to the custom nature of our creative services, all payments made are non-refundable once work has commenced.
5. Revisions and Feedback
Our process includes structured revision rounds defined in the project scope. Additional revisions beyond the agreed-upon scope will be billed at our standard hourly or day rate. Delays in client feedback may result in corresponding delays to the project timeline.
6. Confidentiality
Both parties agree to hold in strict confidence any proprietary or confidential information disclosed during the course of the project. This obligation survives the termination of the project.
7. Disclaimers & Limitation of Liability
Our services are provided on an "as is" basis. Twilight Motion Studio makes no warranties, expressed or implied, regarding the commercial success or performance of the deliverables. In no event shall Twilight Motion Studio be liable for any indirect, consequential, or special damages, including lost profits. Our total liability shall not exceed the total fees paid by the client for the specific project in question.
8. Termination
Either party may terminate a project with written notice if the other party breaches these terms. Upon termination by the client prior to completion, the client is responsible for payment for all work performed up to the date of cancellation.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Twilight Motion Studio is registered, without regard to its conflict of law provisions.
